Terms of Service

Last updated: October 13, 2026

These Terms of Service are the Customer Agreement between Tillstock and a business that has a Tillstock account. If you are such a business, you agree to them when you sign an Order Form or accept them in the Service. Shoppers at a store that runs on Tillstock are not parties to them; see that store's own terms of sale.

1. Who we are and what these Terms cover

  • These Terms are an agreement between Tillstock Inventory Solutions Inc. ("Tillstock", "we", "us") and the business that signs an Order Form with us or uses Tillstock ("you", "Customer").
  • "Service" means the Tillstock platform: the web application, APIs, the online store tools and related services we provide.
  • "Order Form" means the document you sign with us that sets your package, locations, price and start date or, where there is none, the package, locations and price we confirmed to you in writing (including by email) when your Account was set up.
  • "Account" means your business's account. "Users" means the people you invite to use it, such as owners, managers and employees.
  • "Your Data" means the information you or your Users and shoppers put into the Service, including product, stock, order and customer records.
  • Together, these Terms, your Order Form, the Data Processing Agreement (the one attached to your Order Form as a schedule or, where your Order Form has none attached, our standard Data Processing Agreement under section 15), and the documents listed in section 15 are the "Agreement". If they conflict, the Order Form (other than its schedules) comes first, then the Data Processing Agreement, then these Terms, then the Acceptable Use Policy and the Refunds page. A confirmation by email does not override these Terms or the Data Processing Agreement.

2. Accounts and set-up

  • Tillstock accounts are set up with each business. There is no public sign-up. The scope of your account, including package and locations, is agreed in your Order Form before set-up.
  • You must give accurate information, and keep it current.
  • The person who signs the Order Form, and anyone who accepts these Terms in the Service for the business, confirms they have authority to bind the business and is at least 18 years old.
  • You are responsible for your Users and for everything done under your Account. Keep sign-in details private, and tell us promptly at support@tillstock.com if you think someone has gained access without permission.
  • You may not create several Accounts to get around package limits.

3. Fees, invoices and payment

  • Fees are set in your Order Form and are billed in advance, monthly unless your Order Form says annually.
  • We send you an invoice. You pay it by bank transfer or wire to the account shown on the invoice, or by another method we agree with you in writing, within 14 days of the invoice date. Fees for Tillstock are not paid through the Service or through Stripe.
  • Your first 14 days are a free trial, with nothing to pay (section 4). We invoice you only if you tell us you want to continue (section 4).
  • Fees are in Canadian dollars unless the Order Form says otherwise. Fees do not include taxes. GST/HST and any other applicable taxes are added to your invoice where they apply.
  • You are responsible for any bank or wire charges on your side, so that we receive the full invoiced amount.
  • If an invoice is overdue, we may tell you in writing and, if it stays unpaid for 7 days after that notice, suspend the Service until it is paid. Your Data is kept while suspended.
  • We may change fees by giving you at least 30 days' written notice. A change takes effect at your next billing period. If you do not accept it, you may cancel before it takes effect.
  • The Online Store lets your shoppers pay you. Those payments are between you and your shoppers, and are handled by your payment provider. Tillstock is not the seller and is not a party to those sales.

4. Free trial and 14-day refund window

  • You may use the Service free for 14 days. The trial starts on the day your Account is set up and ends at 11:59 p.m. Atlantic time on the 14th day. There is one free trial per business.
  • We invoice you only if you tell us, before the trial ends, that you want to continue. If you do not, the Agreement ends when the trial ends and section 11 applies to Your Data.
  • If you continue and pay, you have 14 days from that first payment (monthly or annual) to ask for a refund of it. If you decide before paying that first invoice that you do not want to continue, tell us and we will cancel it.
  • Email support@tillstock.com from the address of an Account owner. We confirm by email within 2 business days. If you have no confirmation by then, use the contact form at tillstock.com/contact.
  • We refund the full amount you paid for that period, including taxes, to the account you paid from, as soon as we reasonably can, and the Agreement ends on the day you ask. Section 11 then applies to Your Data.
  • If you cancel within this refund window, we treat it as a refund request unless you tell us otherwise.
  • After that refund window, fees already paid are not refunded, except where the law requires it or where we have not provided the Service as agreed.

5. Cancelling

  • You may cancel at any time by emailing support@tillstock.com from the address of an Account owner. Cancellation is by email only. We confirm by email within 2 business days.
  • Cancellation takes effect at the end of the billing period you have already paid for (a month, or a year if you pay annually). You will not be billed again after that, and fees for the current period are not refunded except as these Terms, the Data Processing Agreement or the law provide.
  • You can export Your Data at any time while your Account is active.
  • The Agreement starts on the start date in your Order Form or, if there is none, the day your Account was set up, and renews each billing period until it is cancelled. We may end it for convenience on 30 days' written notice, and we will refund fees you prepaid for the period after the end date.

6. Acceptable use

  • You must use the Service lawfully, and in line with our Acceptable Use Policy.
  • You may not attempt to gain unauthorised access to the Service or to another customer's data, interfere with or overload it, or introduce malicious code.
  • You may not reverse engineer, copy or resell the Service, or let others use it outside your business, without our written consent.
  • You may not use the Service to store or send unlawful, fraudulent or infringing content, or to send spam.
  • You are responsible for what you sell and for the content in your online store, and for complying with the laws that apply to your business, including consumer, product and tax laws.

7. Your online store

  • If your package includes the Online Store, the store is yours and you are the seller. Tillstock provides the software that runs it, and is not a party to any sale between you and your shoppers.
  • You set your own terms with your shoppers: your prices, taxes, delivery, returns and refund policy, and any terms of sale. Tillstock gives you a place to publish your returns policy, and you are responsible for it being accurate and lawful.
  • You are responsible for the products you sell, for fulfilling orders, for refunds you agree to, and for charging and remitting the taxes that apply to you.
  • Card payments go to your own Stripe account. By connecting it you also agree to Stripe's terms. Tillstock does not hold your shoppers' card details or your sales proceeds.
  • Your shoppers' personal information is yours. We handle it for you under the Data Processing Agreement (section 15). You must have the right to collect it, tell your shoppers how you use it, and answer their requests.
  • Your shoppers can read how their information is handled by the store and by Tillstock as the store's service provider, in the Tillstock Privacy Policy.

8. Your Data and privacy

  • You own Your Data. You give us a limited licence to host, process and display it only to provide the Service to you.
  • We do not sell Your Data, and we do not use it to train AI models.
  • Where Your Data includes personal information about your customers, shoppers or employees, you are responsible for having the right to collect it and use it, and we process it for you under the Data Processing Agreement (section 15).
  • Our own handling of personal information is described in our Privacy Policy.

9. Our property

  • Tillstock, the Service and everything in it, including the software, design and branding, belong to us and our licensors. These Terms give you a right to use the Service, not to own it.
  • The right to use the Service is limited, non-exclusive, non-transferable and lasts while your Agreement does.
  • If you send us feedback or ideas, we may use them to improve the Service without owing you anything.

10. Service availability and support

  • We work to keep the Service available and secure, but we do not promise it will be uninterrupted or error-free.
  • We will try to warn you of planned maintenance in advance.
  • Support is available at support@tillstock.com. We reply as quickly as we reasonably can.
  • We may improve or change the Service. If a change materially reduces what your package includes, we will give you notice and you may cancel.

11. Ending the Agreement

  • Either of us may end the Agreement if the other materially breaks it and does not fix the problem within 14 days of written notice.
  • We may suspend your access straight away where needed to protect the Service, other customers or the law, for example for a security threat or serious misuse. We will tell you why.
  • After the Agreement ends, you have 30 days to ask us for an export of Your Data. After that, we delete Your Data from our live systems within a further 30 days. Deleting is done by us, on request or at the end of that period; it is not instant.
  • Some copies are kept for longer, and are used only for the reasons given: invoices and billing records, which we keep for 6 years after the end of the tax year they relate to; encrypted backups, which age out within 12 months; and a pseudonymous record of account activity (a code for the person, their role and location, the action, the type and ID of the record acted on, and the time, with no names, emails or IP addresses), which we keep for up to 7 years for security and record-keeping. Receipts are deleted with the account.
  • Sections that by their nature should continue after the Agreement ends, such as payment owed, ownership, confidentiality, liability and governing law, do.

12. Confidentiality

  • Each of us will keep the other's non-public information confidential, use it only for the Agreement, and protect it with reasonable care.
  • This does not apply to information that is public through no fault of the receiver, was already known, or must be disclosed by law.

13. Warranties and liability

  • We will provide the Service substantially as described in your Order Form and with reasonable skill and care.
  • Other than that, and to the extent the law allows, the Service is provided "as is" and "as available", without any other warranties, including fitness for a particular purpose.
  • You are responsible for the decisions you make using the Service, including stock levels, pricing, orders and tax. Reports and alerts are tools to help you, and are not accounting, tax or legal advice.
  • To the extent the law allows, neither of us is liable for indirect or consequential losses, such as lost profit, lost sales or loss of goodwill.
  • To the extent the law allows, each party's total liability under the Agreement is limited to the greater of CAD $1,000 and the fees paid or owed for the 12 months before the event that caused the claim.
  • These limits do not apply to your obligation to pay fees, to a party's liability for a third-party claim covered by section 14, to a party's intentional disclosure of the other's confidential information in breach of section 12, or to gross negligence or wilful misconduct.
  • Where a security incident affecting Your Data is caused by our breach of the Agreement, our total liability for it is limited to two times the fees paid or owed for the 12 months before the incident, and not less than CAD $5,000.
  • Nothing in these Terms limits liability that cannot be limited by law.

14. Your responsibility to us

  • You will cover our reasonable losses and costs if a third party brings a claim against us because of Your Data, the products you sell or your use of the Service in breach of the Agreement.
  • We will tell you promptly of the claim and let you help to deal with it. You may not settle it in a way that admits fault for us without our consent.
  • We will cover your reasonable losses and costs if a third party claims that the Service itself, used as the Agreement allows, infringes their intellectual property rights. You will tell us promptly and let us control the defence.

15. Related documents

  • The Agreement also includes these documents, which you can read on tillstock.com: the Acceptable Use Policy and the Refunds page. It also includes a Data Processing Agreement: the one attached to your Order Form as a schedule or, if your Order Form has none attached (for example, where your package and price were confirmed by email), our standard Data Processing Agreement, which applies from the day your Account is set up. We email you a copy when your Account is set up, and you can ask for one at support@tillstock.com at any time.
  • The Privacy Policy and the Cookie Policy describe how we handle information ourselves. They are not part of the Agreement and do not add obligations for you.
  • The documents above are at tillstock.com/acceptable-use and tillstock.com/refunds.

16. Changes to these Terms

  • We may update these Terms or the documents in section 15. We will email you at least 30 days before a material change takes effect. Changes to the Terms that need your acceptance will be shown in the Service on or after that date.
  • If you do not accept a change, you may cancel by emailing us before it takes effect. The cancellation then takes effect on the date the change would have applied, and we will refund any fees you paid for the period after that date. If you carry on using the Service after that date, you accept the updated Terms.

17. General

  • Governing law. These Terms are governed by the laws of the Province of Prince Edward Island and the federal laws of Canada that apply there. The courts of Prince Edward Island have exclusive jurisdiction over disputes, except that either of us may seek an injunction to protect confidential information or intellectual property in any court.
  • Notices. We may send notices to the email address on your Order Form or the Account owner's email address in the Service, whichever is current, or show them in the Service. An email notice is received one business day after it is sent. You may send notices to support@tillstock.com.
  • Language. These Terms are in English, and a French version is at tillstock.com/fr/terms for your convenience. If the two differ, the English version applies unless the law that applies to your business requires otherwise. Les parties ont exigé que la présente convention soit rédigée en anglais.
  • Whole agreement. The Agreement is the whole agreement between us on this subject and replaces earlier discussions.
  • If a part of the Agreement is found unenforceable, the rest still applies.
  • You may not transfer the Agreement without our written consent. We may transfer it as part of a sale or reorganisation of our business.
  • Neither of us is responsible for a delay or failure caused by events beyond our reasonable control. This does not excuse a payment owed.
  • Signing an Order Form electronically has the same effect as signing on paper.
